Closing a company in the UAE: the tax and audit checklist

Written by AccWins tax & advisory team Reviewed by Mr. Waqar Updated

Closing a UAE company means more than cancelling the licence. Appoint a liquidator, prepare final accounts and a liquidation audit, apply for corporate tax deregistration within three months of ceasing business and VAT deregistration within 20 business days, and settle every return and liability before the authority releases you.

What are the steps in a voluntary liquidation?

A shareholder resolution to dissolve, appointment of a liquidator, a creditor notice, realisation of assets, settlement of debts and final accounts, then cancellation of the licence (LY Lawyers on Federal Decree-Law No. 32 of 2021). Many authorities ask for a liquidation audit report before cancelling.

When must you deregister for corporate tax?

Within three months of ceasing business, after filing the final return and paying any tax; late applications attract a penalty of AED 1,000 a month up to AED 10,000 (Sovereign Group).

When must you deregister for VAT?

Within 20 business days of stopping taxable supplies. The final return usually treats remaining stock and assets as a deemed supply (Crowe UAE). Thresholds for registration and deregistration come from the FTA rules (Federal Tax Authority).

What else is easy to forget?

Final salaries and gratuity for staff, visa cancellations, bank account closure after the last payments, UBO and secretarial filings, and keeping the records for the statutory period after closure.

A realistic order of steps

  1. Shareholder resolution to liquidate and appoint a liquidator.
  2. Stop trading; settle staff final dues and cancel visas.
  3. Collect receivables, sell assets, pay creditors.
  4. Prepare final accounts and the liquidation audit report.
  5. File the final VAT return and apply for VAT deregistration.
  6. File the final corporate tax return and apply for corporate tax deregistration.
  7. Obtain clearances, close the bank account and cancel the licence.

Where closures get stuck

An unpaid VAT liability or a missing return blocks tax clearance. A bank account closed too early leaves no way to pay final dues. A visa left open keeps the immigration file active. Sequence matters: settle and file first, close accounts last.

Our view

Budget more time than you think. Creditor notice periods, tax clearances and bank processes each move at their own pace, and the licence is usually the last thing to go.

Frequently asked questions

Can I cancel the licence before deregistering for tax?

+

Authorities usually expect tax clearance first; leaving registrations open keeps returns and penalties running.

Is a liquidation audit always required?

+

Most authorities ask for one; requirements vary by emirate and zone.

How long does closure take?

+

Commonly several months, driven by creditor notices and tax clearances.

Can a company be closed with debts outstanding?

+

Not through voluntary liquidation. If debts cannot be paid, the bankruptcy and restructuring law applies.
